Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Blocktario Corp. ("Blocktario", "we", "us", or "our"), a corporation registered in the Province of Ontario, Canada. They govern your use of www.blocktario.com (the "Site") and your purchase and use of any Blocktario products.

By using the Site or buying a product, you agree to these Terms. If you don't agree, don't use the Site or buy the products.

1. Eligibility

You must be at least 18 years old to use the Site or purchase products. By using the Site, you represent that you are 18 or older and have the legal capacity to enter this agreement.

2. Products

Blocktario sells digital products including business templates, prompt libraries, AI workflows, guides, and bundled systems (collectively, the "Products"). All Products are delivered digitally through Gumroad, Inc.

Product descriptions on the Site are our good-faith description of each Product. We may update, improve, or discontinue Products at any time. If you have already purchased a Product with lifetime updates, we will continue to provide reasonable access to updates for as long as we sell the Product.

3. Purchases

All purchases are processed by Gumroad, Inc. under Gumroad's terms and payment processing. Blocktario is not the payment processor. You will receive delivery of digital files by email from Gumroad after successful payment.

Prices are displayed in United States Dollars (USD) unless otherwise stated. Applicable taxes may be added at checkout by Gumroad.

4. Refunds

Refunds are governed by our Refund Policy, which is incorporated into these Terms. In summary: because Blocktario Products are digital and delivered instantly, all sales are generally final. We will provide a refund only if a file is broken, corrupted, or materially not as described, and you contact us within 14 days of purchase. See the full Refund Policy for details.

5. License to use the Products

When you purchase a Product, we grant you a perpetual, worldwide, non-exclusive, non-transferable license to use the Product under the following terms:

You may

  • Use the Product for your own business and personal projects
  • Modify, adapt, and customize the Product for your own use
  • Use the Product in client work, including for clients of consulting, agency, and coaching businesses ("commercial use included")
  • Include portions of the Product in deliverables you provide to your clients

You may not

  • Resell, redistribute, or share the Product itself as a downloadable file or template pack
  • Publish the Product on a template marketplace, prompt marketplace, or similar
  • Sublicense the Product to another party
  • Use the Product to train a machine learning model or generative AI system
  • Represent the Product as your own original work in the context of reselling it
  • Remove any copyright notices or attribution embedded in the Product

Each individual purchase covers one user or one small team using the Product internally. Teams above ten people or agencies distributing the Product to many clients should contact us about a team license.

The license is granted on delivery. If we terminate your access due to a breach of these Terms, the license terminates too.

6. Intellectual property

Blocktario owns all intellectual property rights in the Site, the Products, the Blocktario name and logo, and all related content, except for third-party content clearly credited to its source. Nothing in these Terms transfers those rights to you except the specific license granted in Section 5.

7. Acceptable use

You agree not to:

  • Use the Site or Products for any illegal purpose
  • Attempt to gain unauthorized access to the Site, our systems, or other users' accounts
  • Interfere with the Site's operation, security, or availability
  • Scrape, harvest, or bulk-download Site content without permission
  • Impersonate Blocktario or misrepresent your affiliation with us
  • Submit false, misleading, or fraudulent information

We may suspend or terminate your access to the Site or Products if you violate these Terms.

8. Third-party services

The Site and Products rely on third-party services including Gumroad, Vercel, Formspree, and various AI providers referenced in the Products (such as Anthropic and Cursor). Your use of those services is governed by their own terms and privacy policies. Blocktario is not responsible for their availability, changes, or actions.

9. No professional advice

The Products are business tools and templates. They do not constitute legal, tax, financial, accounting, investment, or professional advice. You are responsible for consulting appropriate professionals before relying on any Product for legal, financial, or regulatory decisions.

10. Warranties and disclaimers

The Site and Products are provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Products will meet your specific requirements or achieve any particular business result.

We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.

11. Limitation of liability

To the maximum extent permitted by law, Blocktario, its officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunity, arising from your use of the Site or Products, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claim arising from these Terms or your use of the Site or a Product is limited to the amount you paid Blocktario for the specific Product giving rise to the claim in the 12 months before the claim arose.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify and hold harmless Blocktario Corp. and its officers, employees, and contractors from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Site or Products.

13. Termination

We may suspend or terminate your access to the Site or a Product at any time for a breach of these Terms. Sections that by their nature should survive termination (including license restrictions, intellectual property, disclaimers, limitation of liability, and governing law) will survive.

14. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-laws principles. Any dispute arising from these Terms or your use of the Site or Products will be resolved exclusively in the courts of Ontario, Canada, and you consent to their jurisdiction.

If you are a consumer in a jurisdiction with mandatory consumer protection laws, those laws may give you rights that these Terms cannot override — in that case, this section applies only to the extent permitted by your local law.

15. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top will change when we do. Continued use of the Site or Products after an update constitutes acceptance of the updated Terms. Material changes will be communicated to newsletter subscribers by email.
